PURPOSE OF MEETING

Extraordinary General Meeting to discuss proposal to change banker from Co-Operative Bank to Fleming Premier Banking.  

 

1.              CHANGE OF BANKER

CB had previously identified (as recorded at meeting of 16th February 2000) that Fleming Premier Banking provide a free current account service (our existing Co-Operative Bank account charges us £44 per annum).  

CB proposed that we switched to Fleming Premier Banking , AB seconded and the following resolution was unanimously accepted :-

It was resolved

1.  That we open an Account with the Bank on the published rules thereof, which we understand and accept.

2.  That the Bank or Save & Prosper as the Bank's agents, be and is hereby authorised:

(a) to honour and comply with all cheques drawn on our behalf and to debit such cheques to the Company's Account.

(b) to honour and comply with all instructions for withdrawals from the Account believed to be genuine and,

(c) to collect for credit to the Account all instruments endorsed on our behalf.

PROVIDED any such cheques, instructions or endorsements are signed on our behalf by any TWO of the signatories.

PROVIDED FURTHER that the Bank shall be entitled to act upon such signatories and to assume that all signatories continue to be duly authorised on our behalf until the Bank receives notice in writing of any change therein or any further list, certified by the Chairman and the Secretary, and that the Bank may assume these Resolutions have not been amended or revoked until it receives notice in writing thereof.

AND PROVIDED FURTHER, that if we request to use the telephone banking services which requires the use of a password and that instructions are given on this Account using this service, then the Bank/Save & Prosper may act on any instructions given over the telephone and to that extent the requirement under this mandate for instructions to be given by authorised signatories will be overridden.

2.                           CONCLUSION

                 Change of banker from Co-Operative Bank to Fleming Premier Banking agreed.  CB to arrange,
